Commercial Property FAQs

Leases are complex documents and the terms have to be considered carefully to ensure that they reflect the agreed terms and that the content properly protects your business interests as the landlord or the tenant. Just a few words can completely change the meaning of a clause.

There may be stamp duty to pay on the rent which requires a return to be filed with HMRC and leases granted for over 7 years require registration with the Land Registry, which a lawyer can deal with for you.

You do not necessarily have a right to a new lease when your current lease comes to an end. This will depend upon how your current lease was drafted. It is therefore important to seek advice well before your lease is due to come to an end so that you can consider your options and discuss any new lease with your landlord.

Stamp Duty is a government tax payable on property purchases and new leases over a certain value. The amount of Stamp Duty due depends on the Property price or premium and annual rent payable under the lease.

We will draft the return for your approval, which will include a calculation of the duty. We will then file the with HMRC and send your payment of the duty as part of our service.

The process really depends on the transaction and the circumstances of it. We will obtain details of your desired timetable and work with all parties in order to achieve this. This does require the co-operation of all parties involved. For a new lease or surrender of a lease, this can take a little as two weeks in some cases. Typically, however, a new lease can take 4-6 weeks. A freehold purchase can take 6-12 weeks.

A conditional contract is a contract for the purchase of land/property that the parties will not complete until a specific condition is satisfied. Once that condition is met, they are legally obliged to complete the transaction.

An option agreement is an option for a party to purchase land/property within a specified period, but they are not necessarily bound to do so and will have no further right to purchase once the option period granted as expired.
